India’s Solar Industries has announced its intention to acquire South Africa’s Omnia Holdings in a significant all-cash deal valued at approximately $1.36 billion. The acquisition is part of Solar Industries’ strategy to expand its global mining operations.

The deal, subject to regulatory and Omnia shareholder approvals, will be executed through Solar SA Investments, an indirect wholly-owned subsidiary of Solar Industries. This move is seen as a strategic step to bolster the company’s presence in critical mineral markets.

Omnia, a Johannesburg-listed company, is a diversified player in the mining and agriculture sectors, operating in 23 countries and serving customers across more than 40 countries. The company reported revenue of about $1.41 billion for the year ended March 31.

India’s Solar Industries, based in Western India, manufactures industrial explosives and initiating systems for various sectors, including mining, infrastructure, construction, defence, and space. The company currently operates over 40 manufacturing facilities globally.

The acquisition is expected to significantly boost Africa’s mining revenue, with Solar Industries predicting a multiple-fold increase in Africa’s mining revenue by fiscal 2028.

As African countries seek to increase their output and attract investment into critical minerals, this deal aligns with broader regional efforts. Zambia, for instance, is targeting a near-tripling of production as metal prices rise.

Industry experts suggest that the acquisition could provide Solar Industries with a competitive edge in the global mining market, leveraging Omnia’s extensive network and market presence.

The deal is subject to regulatory and shareholder approvals, and both companies are expected to work closely to ensure a smooth transition and integration process.
