The Securities and Exchange Commission of Pakistan (SECP) has advised companies whose financial year ended on June 30, 2026, to hold their Annual General Meeting (AGM) by October 28, 2026. This directive is in line with the regulatory requirement that companies must hold their AGMs within 120 days of the close of their financial year.
Following the AGM, companies are required to file Form A where there have been changes in particulars, and Form 24 where particulars remain unchanged from the last Annual Return (AR).
The SECP has also provided specific exemptions, noting that single-member companies and private companies with a paid-up capital of not more than Rs3 million are exempt from filing an AR where there is no change in the particulars contained in their last return.
In addition to filing the necessary forms, companies are encouraged to complete their annual UBO requirements, which include issuing the required notices, obtaining declarations and updates, maintaining the UBO Register, and filing Form-19 with the registrar alongside their AR.
Where an AR is not required, Form-19 must be filed within 30 days of the end of the calendar year, ensuring that corporate information remains up to date.
