The Competition Commission of Pakistan (CCP) has given its approval to a restructuring application by the South Korean Lotte Group, paving the way for internal changes within the company. This decision comes after a thorough Phase-I competition assessment that concluded there were no significant concerns regarding market structure or competitive dynamics in Pakistan.
According to a statement released on Monday, the transaction involves Japan’s Lotte Co., Ltd acquiring shares from Singapore-based Lotte Confectionery (S.E.A) Pte. Ltd., which holds interests in Pakistan through its subsidiaries, Lotte Kolson and Lotte Akhtar Beverages. The CCP noted that as the acquiring company does not conduct confectionery or food business in Pakistan, the transaction is unlikely to alter market conditions.
The CCP reviewed competition across various markets including pasta, gum, savoury snacks, sweet biscuits, cakes, and beverages, identifying Pakistan as the relevant geographic market. It found that the market shares of Lotte Kolson and Lotte Akhtar Beverages would remain unchanged post-transaction, with no adverse effects on competition.
“Following a Phase-I competition assessment, the commission concluded that the transaction is purely a change in ownership within the Lotte Group and will not alter market structure or competitive dynamics in Pakistan,”” said a statement from the CCP. “Accordingly, the Commission authorised the acquisition under Section 31(1)(d)(i) of the Competition Act, 2010, concluding that the transaction would not result in a substantial lessening of competition.”
The decision reflects the CCP’s commitment to facilitating investment and corporate restructuring through efficient merger review. This approval is expected to streamline internal operations for Lotte Group while ensuring compliance with local competition laws.
